Terms of Service

These terms apply to the Fosia Pay plugins and licenses offered on pay.fosiarw.com by Fosia Ltd, 1 KN 78 St, Kigali, Rwanda (“Fosia”, “we”, “us”). By downloading Fosia Pay Lite or buying a license, you (“you”, “the customer”) accept these terms. Fosia Pay is intended for businesses: you confirm that you are at least 18 years old and that you act for a business or professional purpose.

1. Definitions

• Plugin: the Fosia Pay WordPress and WooCommerce software, in its Lite (free) and Pro (paid) editions.
• License: the license key you receive after purchase, which activates the paid features of your plan.
• Plan: Pro, Pro + AI or Agency, as described on the pricing page at the time of purchase.
• Site: one WordPress installation reachable at one domain name (the www. prefix is ignored).
• Subscription period: 12 months from the date your license key is issued.

2. The software and the subscription

The Plugin’s code is distributed under the GNU General Public License, version 2 or later (GPL). Nothing in these terms limits the rights the GPL gives you over the code.

What you buy with a paid plan is a service subscription, made of:

• a license key that activates the paid features of your plan through our license server;
• Plugin updates during the subscription period;
• support, at the level shown for your plan in section 13.

3. Fosia Pay Lite (free)

• Fosia Pay Lite is a free download from pay.fosiarw.com and needs no license key. Its source code is readable in the plugin files (GPL).
• Lite has no payment limit: it processes unlimited Mobile Money payments on 1 Site.
• Lite offers hosted checkout only: the customer completes the payment on a secure PawaPay page.
• Lite is provided “as is”, with email support on a best-effort basis.

4. Paid licenses

4.1 Sites per license

• Pro and Pro + AI: each license key is valid for one Site. The key is locked to the first domain on which it is activated. To use these plans on several Sites, buy one license per Site (you can buy several licenses in one order; each one gets its own key).
• Agency: one Agency license covers up to 25 client Sites (domains), managed from your account on pay.fosiarw.com. One PawaPay account can serve all of them through our central callback router, and each Site registers with the router automatically.

4.2 Changing domain

If you move a Site to a new domain, contact infos@fosiarw.com and we will release the license for the new domain. We may refuse repeated transfers that look like an attempt to share one key across more Sites than your plan allows.

4.3 License checks

The Plugin checks your license with pay.fosiarw.com when you activate it and then once a day. The data sent is described in our Privacy Policy. Blocking these checks may disable paid features.

5. Prices and payment

• Prices are in US dollars. Any taxes that apply are shown at checkout.
• Payment is made by Mobile Money through PawaPay. The amount is converted into the currency of your Mobile Money wallet at the exchange rate applied at checkout. Fees charged by your operator, if any, are your responsibility.
• Your license key is generated and emailed to you once the payment is confirmed.
• We may change prices for future periods. A price change never affects a subscription period you have already paid.

6. Renewal

• Licenses do not renew automatically. We never charge you without your action, and there is nothing to cancel.
• We aim to remind you by email before your license expires.
• To renew, buy a new 1-year license for the same plan, or for another plan, on pay.fosiarw.com. Your license key is emailed once the payment is confirmed; if it is a new key, enter it in the Plugin settings.

7. What happens when a license expires

• At the end of the subscription period, the license becomes inactive at the Plugin’s next daily license check.
• Fosia Pay keeps accepting payments in Lite mode: hosted PawaPay payment page, unlimited payments.
• The paid features switch off until you renew (for example native checkout, refunds, payouts, payment links, recurring payments, the REST API and the AI features).
• Nothing is deleted. Your settings, orders, transaction history and payment link data stay in your WordPress database.
• You stop receiving updates and paid-plan support until you renew.

8. Upgrades and downgrades

You can move to a higher plan at any time. Contact us at infos@fosiarw.com and we will credit the unused part of your current license against the new one. Downgrades take effect at your next renewal.

9. Refunds

Refunds are governed by our Refund Policy. When a purchase is refunded, the related license key is revoked automatically.

10. Your responsibilities

• You need your own PawaPay merchant account. Your contract with PawaPay, its fees, its verification (KYC) and its country and operator coverage are between you and PawaPay.
• You are responsible for your store, your products, your prices, your taxes, your own terms and privacy policy towards your customers, and your compliance with the laws that apply to your business.
• You keep your license key, PawaPay credentials and REST API key confidential.
• You must not resell, share or publish license keys, try to bypass license checks, or use the Plugin for illegal activities or fraud.

11. Payments and funds

Fosia Ltd is a software publisher, not a payment institution. Payments go directly from your customers to your PawaPay account. We never hold, receive or transfer your funds, and we take no commission on your transactions. Disputes about a payment, a refund or a payout are handled with PawaPay and the Mobile Money operator concerned.

12. Third-party services

The Plugin works with third-party services you choose to use: PawaPay, Mobile Money operators, WooCommerce, exchange-rate providers and, only if you turn them on, Anthropic (AI assistant, with your own API key) and Telegram (sale notifications, with your own bot). We are not responsible for their availability, fees, decisions or changes. Country and operator availability depends on your PawaPay account.

13. Support

Support is provided by email at infos@fosiarw.com. Business days are counted in Kigali time (UTC+2). Support covers installation, configuration and bugs in the Plugin. It does not cover custom development, third-party plugins or themes, or issues with your PawaPay account.

14. Availability and changes to the software

We work to keep the license server and the callback router available, but we do not guarantee uninterrupted service. We may add, change or remove features in future versions. If we remove a major feature of your plan during a paid period, you may ask for a refund of the unused part of that period.

15. Warranty

The Plugin is provided “as is” and “as available”, without warranty of any kind beyond what the law requires. You are responsible for testing the Plugin (sandbox mode is available) before using it with real payments, and for keeping backups of your site.

16. Limitation of liability

To the extent permitted by law, Fosia Ltd is not liable for indirect losses, including lost sales, lost profits, lost data or business interruption. Our total liability for any claim related to a license is limited to the amount you paid for that license in the 12 months before the claim. Nothing in these terms limits liability that cannot be limited by law.

17. Suspension and termination

We may suspend or revoke a license, without refund, if you break these terms (for example by sharing a key, bypassing license checks, fraud or illegal use). You can stop using the Plugin at any time.

18. Governing law and disputes

These terms are governed by the laws of the Republic of Rwanda. We will first try to settle any dispute amicably. If that fails, the courts of Kigali have jurisdiction.

19. Changes to these terms

We may update these terms. The version in force on the date of your purchase applies to that purchase. Significant changes will be announced on the site.
